"Listing" means any property advertisement published on the Platform.

"Listing Party" means an agent, broker, developer, owner, or other party who publishes a Listing.

"User" means any person who accesses the Platform, including Listing Parties, buyers, renters, and investors.

"Content" means any text, images, data, or other material uploaded to or displayed on the Platform.

Vista is an online marketplace that helps Users discover, compare, and connect regarding real estate opportunities across multiple countries. Vista is not a real estate agent, broker, dealer, financial advisor, tax advisor, immigration consultant, currency exchange service, or party to any transaction between Users. We do not own, sell, rent, finance, or guarantee any property listed on the Platform. Any transaction or agreement is solely between the Listing Party and the interested User.

You must engage qualified licensed professionals in the relevant jurisdiction — including lawyers, notaries, tax advisors, mortgage brokers, and immigration consultants — before entering into any real estate transaction.

You must be at least 18 years old, or the age of majority in your country of residence, and have full legal capacity to enter into a contract. You must not be barred from using services like ours under the laws of your jurisdiction or any sanctions regime that applies to you.

To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for keeping your credentials secure and for all activity under your account. Notify us immediately at hello@vista.app if you suspect unauthorised access. We may refuse, suspend, or terminate accounts at our discretion, including where we suspect fraud, illegal activity, or breach of these Terms.

Listing Parties are solely responsible for the accuracy, legality, and completeness of their Listings, and for ensuring they have the legal right to market the property.

Vista applies a screening process to Listings, which may include checks on documentation, ownership records, and Listing Party identity. This screening is provided on a reasonable-efforts basis. Vista does not guarantee the accuracy, legality, condition, value, ownership, or availability of any property, and screening does not constitute a survey, valuation, title check, or legal due diligence. Users must conduct their own independent due diligence before relying on any Listing.

We may remove, edit, or refuse any Listing at any time, with or without notice, including for suspected inaccuracy, fraud, or breach of these Terms.

The Platform may automatically translate Listings into multiple languages and convert prices using third-party live exchange rates. Translations are provided for convenience and may contain errors or omissions. The original-language Listing and the original-currency price are the authoritative versions. Final amounts at the point of transaction may differ due to exchange rate movements, bank fees, taxes, and intermediary charges.

Yield, return, rental income, tax, and fee figures shown on the Platform are estimates based on available data and stated assumptions. They are not financial advice, not a forecast, and not a guarantee of future performance. You should not rely on them for investment decisions without independent professional advice.

Information about Golden Visa, residency, citizenship-by-investment, taxation, buyer rights, and local regulations is provided for general informational purposes only. It is not legal, tax, or immigration advice and may not reflect the most current rules in any jurisdiction. Always confirm your eligibility and obligations with a qualified, licensed local advisor before acting.

You agree not to:

• publish false, misleading, fraudulent, or unauthorised Listings;
• publish Content that is unlawful, defamatory, discriminatory, or that violates fair-housing or anti-discrimination laws in any relevant jurisdiction;
• use the Platform for money laundering, sanctions evasion, terrorism financing, or any illegal purpose;
• impersonate any person or entity or misrepresent your affiliation;
• scrape, crawl, harvest, or extract data from the Platform by automated means without our prior written consent;
• reverse engineer, decompile, or attempt to access the source code of the Platform;
• introduce malware, attempt to bypass security, or interfere with the Platform's operation;
• harass, threaten, or send unsolicited commercial communications to other Users.

We may, where required by applicable anti-money-laundering or know-your-customer laws, request identity verification documents and refuse or suspend access until they are provided.

You retain ownership of Content you submit. By submitting Content, you grant Vista a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, reproduce, modify (including translating, resizing, and reformatting), display, and distribute that Content for the purpose of operating, promoting, and improving the Platform. This licence continues for as long as the Content remains on the Platform and for a reasonable period afterwards for backup, legal, and audit purposes.

You warrant that you have all rights necessary to grant this licence and that your Content does not infringe any third-party rights.

The Vista name, logo, Platform, software, design, and all related materials are owned by Vista or its licensors and are protected by intellectual property laws. Nothing in these Terms transfers any of those rights to you. You may use the Platform only as expressly permitted here.

If you believe any Content on the Platform is illegal or infringes your rights, please contact us at hello@vista.app with sufficient detail to identify the Content and the basis of your claim. We will assess and act on valid notices in line with applicable law, including the EU Digital Services Act.

The Platform may integrate or link to third-party services, including maps, exchange-rate providers, analytics, and communication tools. We do not control these services and are not responsible for their content, accuracy, or availability. Your use of them is governed by their own terms.

Use of the Platform is currently free for buyers, renters, and investors. Listing Parties and partners may be subject to separate commercial agreements. Where fees apply, they will be disclosed before they are incurred. All fees are exclusive of VAT and other applicable taxes unless stated otherwise.

You may stop using the Platform and close your account at any time. We may suspend or terminate your access — in whole or in part, with or without notice — if you breach these Terms, if we are required to do so by law, or if continued provision of the service to you would expose us or other Users to risk. Sections that by their nature should survive termination (including liability, indemnity, intellectual property, and governing law) will continue to apply.

To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted availability. We do not warrant that Listings are accurate, that Users are who they claim to be, or that any transaction will be successful.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or any statutory rights you have as a consumer that cannot be waived.

To the maximum extent permitted by applicable law, Vista will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunity, arising out of or in connection with your use of the Platform — even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or in connection with the Platform or these Terms will not exceed the greater of (a) the total fees you have paid us in the twelve months before the event giving rise to the claim, or (b) one hundred euros (€100).

You agree to indemnify and hold harmless Vista, its affiliates, and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your Content or Listings; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect and process personal data in accordance with the EU General Data Protection Regulation and other applicable laws.

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

These Terms are governed by the laws of [JURISDICTION — typically where Vista is incorporated, e.g. Germany or Israel], without regard to conflict-of-laws rules. Subject to mandatory consumer protection rules in your country of residence, the courts of [CITY, JURISDICTION] have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

If you are a consumer resident in the European Union, you may submit a complaint via the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We are not obliged to participate in alternative dispute resolution proceedings before a consumer arbitration board.

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction. These Terms, together with the Privacy Policy and any other policies referenced here, constitute the entire agreement between you and Vista regarding the Platform.
